Terms and Conditions of Sale



Ordering

By express agreement, the buyer is irrevocably committed and the sale is final and binding upon the signing of the order form. All our shipments are payable at our registered office and travel at the recipient’s own risk, even if shipped carriage paid. You are requested to check the condition of the packages and their contents upon arrival before signing the receipt for the transport agents. In the event of a dispute, jurisdiction is assigned to the commercial court of our registered office, which shall have sole competence. Shipments are made without guarantee against frost.


Payment Terms

Unless otherwise stated, our invoices are payable in cash, net and without discount.


Recovery Costs

The amount of the fixed indemnity for recovery costs provided for in the twelfth paragraph of Article L.441-6 is set at €40.


Late Payment Interest

Any delay in payment shall automatically and without formal notice result in the payment of late interest at a rate of 18% per annum. In the event of late payment, we reserve the right to suspend or cancel orders, without prejudice to any other remedies.


Acceleration of Payment

Non-payment of an installment shall result in the entire debt becoming due immediately, without further notice.

Penalty Clause

If the recovery of the debt requires the intervention of our litigation department, or any other collection agent or ministerial officer, the debt shall be increased by a flat rate of 10% as a penalty clause.


Domicile and Jurisdiction

The selling company elects domicile at its registered office. In the event of a dispute relating to the execution of the sales contract or the payment of the price, the Commercial Court of our registered office shall have sole jurisdiction, regardless of the place of delivery.


Retention of Title Clause

Until the price is paid in full, the goods sold shall remain our property. Should the buyer fail to pay even a single portion of the price at the agreed deadlines, and eight days after a formal notice sent by registered letter, the sale shall be terminated automatically if we see fit. In this case, we may obtain the return of the products sold by simple summary order from the President of the Commercial Court of our registered office, to whom the parties assign jurisdiction (Law of May 12, 1980, No. 80.335).
